This page explains key terms from your agreement with Ruthless Talent Ltd in straightforward language. Breach of Contract

If you break the terms of the agreement (e.g., removing a video too soon), you’ll have seven days to fix the issue after being notified. If it’s not resolved, the Brand may take legal action against you. If it’s not resolved in time, you will owe back any money you have been paid.


Payment Terms

  • Payment Timing: Ruthless Talent will pay you within two days after receiving payment from the Brand. If the brand pay earlier, we pay you earlier. If the brand pays late, then unfortunately you get paid late too. By signing the contract, you agree that you fully understand this.
  • Deposits: Any upfront payments will be held until your work is confirmed as completed. This confirmation must happen within ten business days, unless there’s a dispute.
  • Direct Payments: If a Brand pays you directly, you must send Ruthless Talent the agreed commission and any agreed expenses within seven days.
  • Invoice information: You must add the relevant price, currency, invoice date, and payment terms to your invoice. This information must match the contract – you cannot make up your own payment terms.

Communication with the Brand

You cannot contact the Brand directly to ask about the deal’s financial details. If you need information, you can ask Ruthless Talent, but only details covered in the agreement are guaranteed to be shared.


Non-Payment by the Brand

If the Brand doesn’t pay, Ruthless Talent will try to collect the money for 60 days. After that, you can take legal action to recover the payment and keep the full amount without paying Ruthless Talent their commission. For clarity, Ruthless Talent are not wiping their hands of this; the clause is to give you the option to take control yourself, if you wish to do so.


Confidentiality

Both you and Ruthless Talent agree to keep each other’s information confidential, except for legal or business reasons. This confidentiality lasts indefinitely. Basically, you are not allowed to tell anybody anything about this contract unless agreed by Ruthless Talent.


Intellectual Property

You keep full ownership of any intellectual property you had before or created during the contract, unless stated otherwise in the contract.


Legal Compliance

You guarantee that the content you post won’t violate anyone’s rights or break any laws. If there are any issues, you’re responsible for covering any losses Ruthless Talent faces, as long as the claim is made within five years of the breach.


Termination

  • By Ruthless Talent: The contract can end if you don’t fix a breach within 30 days of being notified, or immediately if the Brand ends their agreement with Ruthless Talent.
  • By You: You can only end the contract if Ruthless Talent breaches the terms and doesn’t fix it within 30 days.
  • Penalties for Non-Compliance: If you don’t release content without a valid reason, you may owe 25% of the deal’s value as a penalty.

Taxes and Fees

  • You’re responsible for paying any taxes or government fees related to this contract.
  • If there are any import taxes or similar, the creator is liable to pay.

Assignments and Transfers

  • You can’t transfer this agreement to someone else without Ruthless Talent’s approval.
  • Ruthless Talent can transfer the agreement during a company restructuring, as long as you’re informed.

Non-Circumvention

For six months after publishing the content, you can’t work with the Brand directly or through another agency without Ruthless Talent’s approval.


Usage Rights

Unless stated otherwise, the Brand has full and permanent usage rights to the content you create for them.


Deadlines

You must publish content on time. If you need more time, you must get written approval from Ruthless Talent. Missing deadlines without approval may lead to penalties or legal action.


Contracts from Media Buyers

Always sign contracts sent directly by Ruthless Talent. If you mistakenly sign one from a media buyer, they will forward it to Ruthless Talent for processing. Sometimes media buyers contact Ruthless Talent to help them to fill a quota on a campaign.


Legal Advice

You confirm that you’ve either obtained independent legal advice or decided not to.


Force Majeure

Neither party is responsible for failing to meet the agreement due to events beyond their control, like natural disasters.


Entire Agreement

This contract is the full agreement between you and Ruthless Talent, replacing any previous agreements.


Dispute Resolution

If there’s a dispute, both parties will first try to resolve it through negotiation. If that fails, mediation or arbitration will be the next step before legal action.


Partnership Promotion

Ruthless Talent may publicly announce your partnership on their website and social media, but they won’t disclose financial details.


Currency Transfer Fees

If you use a non-US-based USD bank account, you’ll cover any transfer fees. Other currencies and US-based USD accounts are not affected.


Ad Approval

You can’t release an ad without Ruthless Talent’s approval. If you do, you won’t get paid. We will accept absolutely no argument about this. The decision is final. Don’t do it. If the brand is taking too long to approve, and you have decided that an arbitrary date is definitive, then that’s your choice, you won’t get paid if you choose to breach the contract by releasing without approval. By signing the contract, you fully understand and agree to this term.


Breach and Liquidated Damages

If you knowingly or unknowingly breach the agreement, you may have to repay the full amount you were paid, plus an extra 25%. If this happens, Ruthless Talent or the Brand may take legal action to recover the money.


Invoicing

You need to submit an invoice with all the required details within seven days of publishing content. Missing this deadline may delay payment. You will still get paid if you’re late, but it may take longer than usual, but is unlikely.
